Explanatory Note

 

This Amendment No. 1 to Current Report on Form 8-K (this “Form 8-K/A”) is filed as an amendment to the Current Report on Form 8-K filed by Clean Energy Fuels Corp. (the “Company”) with the Securities and Exchange Commission on January 31, 2014 (the “Form 8-K”).  The sole purpose of this Form 8-K/A is to provide information called for in Item 5.02(d)(3) that had not been determined and was unavailable at the time of filing the Form 8-K.

(d)                                 On February 25, 2014, the Board of Directors (“Board”) of the Company appointed Mr. Stephen Scully to serve on the audit committee of the Board.
